Terms of Service for Meridian

Meridian (the "Platform") is a business services platform ("we", "us", or "our"). These Terms of Service ("Terms") govern your use of the Platform and its website. Meridian is currently pre-launch and pre-incorporation; the legal entity operating the Platform, and its registered jurisdiction, will be published here once incorporation is complete.

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access or use the Platform.

1. ACCEPTANCE OF TERMS

By creating an account or using our Platform, you confirm that you accept these Terms and agree to comply with them. If you do not agree, you must not use our Platform.

2. DESCRIPTION OF SERVICE

Meridian is a multilingual business services platform based on conversational requests. Customers request services through chat conversations, and qualified providers — who have opted in to the services they offer — deliver them. The Platform facilitates:

  • Service request creation through chat
  • Conversation-based communication between customers and providers
  • Quotes, pricing (per-service currency) and payment reporting
  • Document sharing and validation
  • Workflow step tracking from request to delivery
  • Meetings and follow-up

3. USER ACCOUNTS

To use certain features of our Platform, you must register for an account. You agree to:

  • Provide accurate, current and complete information
  • Maintain the security of your password and account
  • Notify us promptly of any unauthorized use of your account
  • Not share your account credentials with others
  • Be responsible for all activity that occurs under your account

4. USER RESPONSIBILITIES

You are solely responsible for the content you submit through the Platform, including request descriptions, messages, and documents. You agree to:

  • Ensure your content is accurate and does not infringe third-party rights
  • Not submit content that is unlawful, harmful or fraudulent
  • Provide authentic documents where required
  • Keep your request information up to date
  • Communicate with providers and admins through the Platform
  • Respect provider terms and payment obligations
  • Not use the Platform for purposes other than legitimate service requests

5. SERVICE PROVIDER TERMS

Providers on Meridian opt in to the services they offer. By offering services, you agree to:

  • Deliver the services you offer competently and on time
  • Honor the pricing or quotes you submit
  • Keep your service information accurate
  • Respond to customer requests through the Platform
  • Comply with all applicable laws and regulations in your delivery

6. PAYMENTS AND FEES

Services may have a fixed price (in the service's currency) or require a quote, which the provider or admin submits for your approval. You agree to:

  • Pay the agreed price for services you approve
  • Report payments through the Platform
  • Not dispute approved charges without valid grounds
  • Understand that fees are denominated in the service currency shown

Unless stated otherwise, amounts shown on the Platform are exclusive of taxes. You are responsible for any taxes applicable to your use of the Platform.

7. INTELLECTUAL PROPERTY

The Platform, including its software, design, text, graphics and branding, is the property of Silkdev-SUARL and is protected by applicable intellectual property laws. You may not copy, modify, distribute or create derivative works from the Platform without our prior written consent.

8. USER CONTENT

You retain ownership of the content you submit to the Platform. By submitting content, you grant us a limited license to store, process and display it as necessary to provide the Platform's services.

We may remove content that violates these Terms or applicable law, at our discretion and without notice.

9. PROHIBITED USES

You agree not to use the Platform to:

  • Engage in any unlawful activity
  • Impersonate another person or entity
  • Attempt to gain unauthorized access to the Platform or other accounts
  • Interfere with the operation of the Platform
  • Use the Platform to defraud customers, providers or the Platform

10. TERMINATION

We may suspend or terminate your access to the Platform at any time if you breach these Terms or if required by law. You may delete your account at any time; content you submitted may remain where required for legal or service continuity reasons.

11. DISCLAIMER OF WARRANTIES

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including merchantability or fitness for a particular purpose, to the maximum extent permitted by applicable law.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Silkdev-SUARL shall not be liable for any indirect, incidental, special, consequential or punitive damages arising out of your use of the Platform. The Platform acts as an intermediary between customers and providers; the quality and delivery of services are the responsibility of the provider.

13. GOVERNING LAW

These Terms will be governed by the laws of the jurisdiction in which Meridian is incorporated. That jurisdiction has not been finalized yet; this section will be updated with the specific governing law and courts once incorporation is complete.

14. CHANGES TO THESE TERMS

We may update these Terms from time to time. We will post the updated Terms on the Platform and update the "last updated" date. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
